Filing day again for Asiarim. Some of the highlights:

Increased authorized shares of common stock from 75 million to 300 million.
Ownership amounts and percentages updated.

Name change (yes, again):

Quote:
On August 15, 2011, the Board approved resolutions authorizing the amendment of the Company's Certificate of Incorporation to change the Company's name to The Commodore Corporation (the Name Change)

Changed registered office of incorporation from China to Nevada, U.S..

source

No quarterly report yet regarding their licensee. The upcoming quarterly was previously announced as delayed.

Asiarim 10-Q filing-Monday, August 22, 2011

One highlight:
Quote:
Liquidity and Capital Resources

We do not have sufficient resources to effectuate our business. As of June 30, 2011, we had $2,804 in cash.

And no change of note from prior filing regarding their licensee - C=USA:
Quote:
Under the license agreement, the third party is expected to pay an initial royalty of EUR 250,000 on or before December 31, 2011. The licensee started to market its range of products under the 'Commodore' brand in June of 2011 and the Company therefore expects increasingly royalty income during the next quarters.

Seems to me that with Asiarim in such bad shape that Hyperion could get a license for cheap.

Referring to one line above from the December 7, 2011 filing:

Quote:
2) Removed Mr. Eugene van Os as Treasurer, Secretary, and Chief Financial Officer of the Company,

New information that seemingly only appeared today, despite being dated December 20, 2011:

Quote:
We have since requested on several occasions for Mr. van Os to return all the records of the Company and its subsidiaries. However, Mr. Van Os refused to hand over the records to the current management. These information and records, which we assume, are still in Mr. van Os's possession, belong to and are properties of the Company. The Company is currently seeking legal advice and shall reserve its rights to claim for any damages caused as a result of not timely receiving the documents and records from Mr. van Os.

Perhaps more interesting is the balance of the document referring to the expiration of the current license agreement with Commodore LLC on December 31, 2011, request for continuance under revised conditions, and the latest name being listed as ownership of the trademarks and IP "Commodore Brand IP Limited"

source

After a 3 thread buildup to a "Massive Announcement" on Commodore-amiga.org, said announcement was put on hold on or about the same date (December 20, 2011) as the above news from the SEC. Coincidence?

In order to keep the historical perspective by date I'm going to copy a post or two from another thread into this:
From December 28, 2011:

Quote:
Commodore trademark has a new daddy

After months of hard work and international legal filings, I am thrilled to finally announce that Commodore Holdings (C Holdings), which is the corporate entity that owns and holds the trademark IP "Commodore" is no longer a part of or a division of Asiarim Corp. The stock in Commodore Holdings was pledged as collateral years ago, and 100% ownership of that company is now in the hands of a new group (wonder who that can be?). Additionally, a ruling came down this afternoon from the Netherlands court that has formally put Commodore Licensing B.V. into involuntary bankruptcy. This bankruptcy proceeding was initiated by this same group. Asiarim and whatever else is left of it will shortly be following suit. The Netherlands court will be appointing a receiver for the bankrupt parties within the next day or two.

source

and also from December 28, 2011:

Quote:
Eugene van Os is truly the white knight is this adventure. Do not believe anything that was reported in the recent SEC filings by Asiarim. There were outright lies and misinformation filed that is being corrected and hopefully investigated by the SEC as we speak.

source

Now something new from December 29, 2011:

Asiarim Corp announced delayed annual 10-K filing

ok. We're back up to date again.

Amazingly we had 4 were I used to work here in the Yorkshire Dales. They were 486s. Just standard PCs. They were quite good build quality. Back when things were made to last - in the good old days.

seems to be a confirmation

Rough translation from article a day after Barry's post here:
Quote:
commodore licensing BV, The Hague (Zuid-Holland) by a court in Almelo was declared bankrupt.

Does that sound about right?

@Amiga_3k

Thank you.

@thread

January 6, 2012 Asiarim SEC filing in regards to the bankruptcy:

here

Quote:
the Company will work with the Receiver to provide all necessary information as requested under Dutch law and will try to recover as much as possible so as to satisfy the creditors of CLBV.

One obvious question. Due to recent events, has the EUR 250,000 initial royalty due from CUSA to Asiarim by December 31, 2011 become null and void as a result of this?

Surely it's still owed to the creditors though?

Agree on both points. Who wouldn't?
And they still think corporation is spelled with an "e".

Quote:
We will inform you shortly about Commodore Technology Corperation

@those who know

C= HOLDINGS B.V. ("C=Holdings")...is that the same as "Commodore Holdings Corporation"?

Never mind that their front page news headline is from 9 years in the future:

"11/01/2021
Termination license agreement with C Licensing"

Probably the whole 'spaghetti' mess can only be beneficial as it seems to be near impossible to tell without a doubt who owns what and what are they allowed to do with it.
